An authorized commitment.

An authorized representative can sign a voluntary commitment to present a benefit-adoption plan. That signature is a statement of intent. It is not a board resolution, owner vote or accepted charter amendment.

The right owner vote.

Apply the statute, all voting groups and the company’s charter. For a listed company, prepare the appropriate proxy/disclosure process. Non-stock, mutual, cooperative, partnership and federal entities require their own analysis.

Effective adoption.

Record adoption only after the authorized filing or transaction becomes effective. Preserve the accepted charter, effective date and evidence of the benefit duty and reporting plan.
